Established in December 2021, Cube Highways Trust was set up under the SEBI InvIT Regulations to acquire, manage, and invest in infrastructure assets and infrastructure-related investments in India through special purpose vehicles (SPVs) and holding companies.
As of the date of the offer document, the Trust's portfolio comprises 27 operational road assets, including highways, expressways, and toll roads, spread across multiple Indian states, with four additional road infrastructure assets proposed to be added to the portfolio. These assets are held and operated through project SPVs under concession agreements granted by various governmental authorities, giving the Trust exposure to long-tenure, contracted revenue streams typical of the road annuity and toll asset class.
The Trust is professionally managed, with Cube Highways Fund Advisors Private Limited acting as the Investment Manager responsible for capital allocation and strategy, and Cube Highways and Transportation Assets Advisors Private Limited serving as the Project Manager overseeing day-to-day operations and maintenance of the road assets. This structure allows the Trust to focus on acquiring and managing operational transportation infrastructure with predictable, inflation-linked or annuity-backed revenue and further growth potential through accretive asset acquisitions.
Financially, the Trust's asset base has grown from around ₹24,626 crore as of March 2024 to over ₹30,252 crore as of September 2025, while profitability has improved from a net loss in FY24 and FY25 to a net profit of ₹40.69 crore in the six months ended September 2025, reflecting the stabilizing nature of its underlying toll and annuity road assets as they mature within the portfolio.
